Export sales contract: key clauses and presets
Sales Contract (prefix SC) defines obligations: subject matter, price, payment, delivery, inspection, breach, and dispute resolution. Compared to PI, it emphasizes legal clauses; compared to CI, it does not replace invoice functions for customs and accounting.
Topics the contract should cover
Goods description and specs, quantity and price, Incoterms and shipment, payment schedule, inspection and acceptance, packing and marks, force majeure, liability, dispute resolution and governing law. Preset clause bundles beat drafting long contracts from scratch.
Preset clauses, not free-form design
TradeDocs offers selectable clause presets — staff combine them without an open-ended contract editor. Structure stays professional and key clauses are harder to omit. Special agreements can still appear in remarks or addenda.
Working with PI and CI
Contract value should align with PI; CI reflects actual shipment afterward. When contract, PI, and CI pull from one deal, version control is far simpler.
